Terms of Service for Vita Nova Consulting

Introduction

Thank you for choosing Vita Nova Consulting ("we," "us," or "our"). These Terms of Service ("Terms") govern your engagement with our services. By using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must refrain from using our services.

Services Provided

Vita Nova Consulting provides specialist wound and stoma consulting and education services across a range of settings. Our services include:

  • Clinic-Based Consultations:
    Specialist wound and stoma consultations conducted at our designated clinic location.

  • In-Home Consultations (By Arrangement):
    In-home consultations may be offered where appropriate and must be arranged in advance.

  • Aged Care Facility Consultations:
    Consulting services provided to aged care facilities to support wound and/or stoma care management for residents.

  • Staff Education and Training:
    Tailored education and training sessions for healthcare professionals, carers, and facility staff, delivered in person or as otherwise agreed.

    Client Responsibilities

    Clinic-Based Consultations: Clients attending clinic appointments are required to complete a new patient intake form prior to, or at, their first appointment to ensure safe and appropriate care. Clients must also provide accurate and complete information relevant to their care.

  • In-Home Consultations:Clients must ensure a safe and hygienic environment for consultations and disclose any health concerns, mobility restrictions, or other relevant conditions that may impact service delivery.

  • Aged Care Facility Consultations:Facilities must provide appropriate access to patient information where consent has been obtained and nominate a designated contact person to coordinate services.

  • Education and Training: Facilities are responsible for ensuring staff attendance and availability of any agreed resources or equipment.

Bookings, Fees and Payment

  • Booking: Consultations and education sessions must be booked via our website, email, or phone and are subject to availability. Bookings are confirmed once accepted by Vita Nova Consulting.

  • Fees: Fees will be communicated at the time of booking and may vary depending on service type, duration, location, and complexity. Fees are subject to change with reasonable prior notice.

  • Payment at Time of Appointment: For clinic-based consultations, payment is required on the day of the appointment and is processed via Tyro (EFTPOS) unless otherwise agreed in writing prior to the appointment.

  • Invoiced Services: Invoicing may apply for services including, but not limited to: Aged care facility consultations, education and training sessions, approved in-home consultations, other services agreed in writing

  • Where an invoice is issued: Payment is due within 14 days of the invoice date, unless otherwise stated in writing. Accepted payment methods include bank transfer.

Late Payments and Fees:

  • Accounts not paid by the due date will be considered overdue.

  • Interest may be charged on overdue balances at a rate of 1.5% per month, calculated daily from the due date until payment is received.

  • Vita Nova Consulting reserves the right to suspend services where accounts remain unpaid.

  • Any reasonable costs incurred in recovering overdue payments may be charged to the client where permitted by law.

  • Cancellations and Rescheduling: Clients must provide at least 24 hours’ notice to cancel or reschedule an appointment or training session.

  • Cancellations with less than 24 hours’ notice may incur a cancellation fee of 50% of the service cost.

  • Where non-refundable expenses have been incurred (including materials, resources, venue hire, or catering), the client may be liable for these costs.

  • Applicable fees will be determined on a case-by-case basis.

Privacy and Confidentiality

  • Privacy Protection: We comply with the Australian Privacy Principles (APPs) and applicable privacy laws in handling clients’ personal information.

  • Confidentiality: All information shared during consultations and training sessions remains confidential and will not be disclosed without consent, except where required by law.

  • Use of De-identified Data: In the case of education and training, we may request consent to use de-identified case studies to enhance learning while ensuring privacy is upheld.

Health and Safety

  • Our services are advisory and educational in nature. We do not diagnose medical conditions or provide medical treatment. Clients remain responsible for their own care and must seek medical advice from appropriately qualified healthcare professionals where required.

Limitation of Liability

  • General Disclaimer: We are committed to following all consumer protection laws, so nothing in these Terms can override your legal rights. By using our services, you acknowledge that you do so at your own risk. While we provide expert advice, we are not responsible for any outcomes that may arise from following our advice. You are responsible for managing your own care.

  • Client Acknowledgment: Clients expressly agree that the use of our services is at their own risk.

  • In-Home Consultations: While we provide expert advice, we are not liable for any adverse outcomes resulting from the management of wounds or stoma care following our consultations. Clients should seek ongoing medical advice as necessary.

  • Aged Care Facility Consultations and Education: We offer professional guidance to the best of our ability but do not accept liability for direct or indirect consequences arising from the implementation of our advice or training. It is the responsibility of the facility to ensure that care provided aligns with clinical best practices and regulatory standards.

  • Liability Limitation: To the extent permitted by law:

    • All guarantees, conditions, and warranties (express or implied) by law, custom, or otherwise regarding the suitability, quality, or fitness of our services are excluded.

    • Vita Nova Consulting’s liability for any breach of guarantees, conditions, or warranties is limited, at our discretion, to either:

      • The re-supply of the services; or

      • The payment of the cost of having the services re-supplied.

    • We are not liable for any special, indirect, or consequential loss or damage, including but not limited to loss of profits, loss of revenue, or third-party claims arising from delays, negligence, or any act or omission connected with our services.

Intellectual Property

All materials, including but not limited to training documents, presentations, and educational resources, are the intellectual property of Vita Nova Consulting. These materials are for personal or internal use only and may not be reproduced, distributed, or shared without prior written permission.

Amendments 

We reserve the right to update these Terms at any time. Updates will be published on our website and/or communicated directly. Continued use of our services constitutes acceptance of updated Terms.

Termination of Services

We reserve the right to terminate services at our discretion if a client breaches these Terms, provides false information, violates confidentiality, or compromises the safety or integrity of our services. Either party may terminate services with written notice in the event of a material breach of these Terms.

Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
